EDGEROVER BETA AGREEMENT
This EdgeRover Beta Agreement (this "Agreement") is a legal contract between you as an individual non-commercial beta tester ("you" or "Beta Tester"), and Western Digital Technologies, Inc., its subsidiaries and affiliates (collectively, "WDT") regarding your use and conduct related to the evaluation of data storage software and hardware products and other similar products as provided to you as part of an evaluation program ("WDT Products").
IMPORTANT – PLEASE READ THIS AGREEMENT CAREFULLY. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT YOU REPRESENT AND WARRANT TO WDT THAT YOU HAVE THE FULL RIGHT AND AUTHORITY TO ENTER INTO THIS AGREEMENT, AND YOU AGREE TO BE BOUND BY THIS AGREEMENT (INCLUDING THE PRIVACY STATEMENT, WHICH IS INCORPORATED HERE BY REFERENCE AND AVAILABLE AT https://www.westerndigital.com/legal/privacy-statement) GOVERNING YOUR PARTICIPATION IN THE BETA TEST PROGRAM.
BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT YOU AGREE TO THE COLLECTION AND USE OF CERTAIN INFORMATION, INCLUDING PERSONALLY IDENTIFIABLE INFORMATION, AS DESCRIBED IN SECTION 7. YOU UNDERSTAND AND AGREE THAT WESTERN DIGITAL WILL TRANSFER, PROCESS AND STORE YOUR DATA TO/IN OTHER COUNTRIES, INCLUDING THE UNITED STATES.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT AND THE PRIVACY STATEMENT, DO NOT CLICK TO ACCEPT OR DO NOT SIGN THIS AGREEMENT, AND YOU WILL NOT BE ELIGIBLE TO PARTICIPATE IN THE BETA TEST PROGRAM.
By accepting the terms and conditions of this Agreement you agree and represent that: (i) you would like to participate in a beta test of certain WDT Products, which may include pre-release versions of such WDT Products ("Beta Test"); (ii) you and any members of your household are not employed by any competitor of WDT; (iii) you do not work or consult for any competitor of WDT or the WDT Products; (iv) you are not otherwise employed by a company engaged in any product development that would compete with WDT or the WDT Products; and (v) you are not a member of the press.
Evaluation Materials. "Evaluation Materials" shall mean: (i) any pre-release version of the WDT Products provided to Beta Tester by WDT in connection with the Beta Test or this Agreement; (ii) any software included on, or provided in connection with, such pre-release version of the WDT Products; (iii) any improvements, updates, or inventions related thereto; and (iv) any and all other related information, whether provided orally, visually, or in writing (including, without limitation, features, release dates, product specifications, etc.) provided by WDT to Beta Tester in connection with the Beta Test or this Agreement.
Grant of License. Subject to the terms and conditions of this Agreement, WDT grants to Beta Tester, a personal, limited, nonexclusive, fully revocable, royalty-free, nontransferable, and non-sublicensable right to use the Evaluation Materials solely for evaluating and providing Feedback (as defined below) to WDT.
License Restrictions; Disclaimer.
3.1 License Restrictions. Beta Tester shall not (and shall not allow any third party to): (i) remove, alter, or obscure any proprietary notices contained on or within the Evaluation Materials; (ii) modify, reverse compile, reverse assemble, or reverse engineer all or any portion of the Evaluation Materials; (iii) distribute, disclose, market, rent, lease, sell, or otherwise transfer the Evaluation Materials to any third party; (iv) modify, incorporate into or with other software, or create a derivative work of any part of the Evaluation Materials; (v) disclose the results of the Evaluation Materials' performance benchmarks to any third party without WDT's prior written consent; or (vi) use the Evaluation Materials as a primary storage or networking solution or for production or commercial purposes. Beta Tester shall have no right to transfer, sublicense, or otherwise distribute the Evaluation Materials to any party without the prior written consent of WDT.
3.2 Disclaimer. Beta Tester agrees that the Evaluation Materials are pre-release versions and are not at the level of performance or compatibility of a final, generally available WDT Product offering. The Evaluation Materials may not operate correctly and may be substantially modified prior to first commercial shipment, or withdrawn. In no event shall WDT be liable for any damage whatsoever arising out of the use of or inability to use such Evaluation Materials (including, without limitation, loss of data), even if WDT has been advised of the possibility of such damages.
Ownership. All right, title, and interest in and to the Evaluation Materials, including, without limitation, any improvements, modifications, and enhancements made thereto, are and shall remain in WDT. Except for those rights expressly granted to Beta Tester in Section 2, no other rights are granted, either express or implied, to Beta Tester hereunder.
Feedback. WDT may require Beta Tester to complete surveys and or provide suggestions, comments, technical information, evaluation results, or other feedback concerning the functionality and performance of the Evaluation Materials, including without limitation identifying potential errors and/or improvements ("Feedback") to WDT in connection with this Agreement. Feedback and other information that is provided by Beta Tester to WDT in connection with this Agreement may be used by WDT to improve or enhance its products and, accordingly, WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Feedback and information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the use or exploitation of the Feedback by WDT.
Confidentiality.
6.1 Confidential Information. Regardless of whether marked or designated "confidential" or "proprietary" by WDT, the Evaluation Materials and all trade secrets, performance data, designs, features, layouts, configurations, processes, formulae, specifications, programs, test results, Feedback, technical know-how, methods and procedures of operation, and other information relating thereto (or otherwise obtained in connection with Beta Tester's use or evaluation of the Evaluation Materials) shall be deemed to be confidential information of WDT ("Confidential Information").
6.2 Protection of Confidential Information. Beta Tester acknowledges that WDT claims Confidential Information as a special, valuable, and unique asset. Confidential Information is provided to Beta Tester solely for Beta Tester to evaluate and provide Feedback to WDT, and Beta Tester shall not use Confidential Information in any other manner. Beta Tester agrees that it will not disclose Confidential Information to any third party. Beta Tester shall maintain the confidentiality of Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, but no less than a reasonable degree of care under the circumstances. Without limiting the foregoing, Beta Tester shall not disclose to any third party, including, without limitation, any blog or website, Beta Tester's use of the Evaluation Materials or participation in the Beta Test program, the results of any tests of the Evaluation Materials, including, without limitation, any features, problems, on-screen displays, or any Feedback.
Collection of Information.
7.1 Consent to Use Registration Information. Beta Tester represents and warrants that the information Beta Tester provides to WDT during the Beta Test registration process ("Registration Information") is accurate and acknowledges that Beta Tester's selection as a beta tester may be based on WDT's review of such information. Beta Tester acknowledges and consents to WDT's use of Registration Information for: (i) qualifying Beta Tester into the Beta Test program, (ii) administrating the Beta Test program, and (iii) general marketing purposes. Registration Information shall be otherwise handled by WDT in accordance with its Privacy Statement (currently available at: https://www.westerndigital.com/legal/privacy-statement), which is hereby incorporated by reference.
7.2 Consent to Collection and Use of Additional Information. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF ADDITIONAL INFORMATION AS DESCRIBED IN THIS SECTION. Beta Tester acknowledges that the Evaluation Materials may contain software that collects and automatically reports to WDT certain data, Usage Data (as defined in this section), files, logs, and other related information that may include personally identifiable information (collectively, the "Additional Information"). "Usage Data" includes information about how you use the WDT Products and includes items such as device information and configuration; CPU/device and other usage statistics by application; API calls; service crash information; network status; storage utilization; search terms; file attributes (for example, content metadata such as file size, type, source, creation/modification/access dates and times, camera make/model, location, and tags/descriptions); correlations among files; and third-party account information that you link to the service. You agree that WDT may use Additional Information to improve the quality and performance of WDT's products, services, and apps and to personalize your experience with WDT's products, services, and apps, including by sending you in-app and push notifications. WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Additional Information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the transmission, collection, use, or exploitation of the Additional Information by WDT.
7.3 Consent to Collection and Use of Personally Identifiable Information for Marketing Communications. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF PERSONALLY IDENTIFIABLE INFORMATION FOR MARKETING COMMUNICATIONS AS DESCRIBED IN THIS SECTION. WDT may use personally identifiable information from your use of WDT's products and services to send you marketing communications, including targeted advertisements, via in-app messages, push notifications, and email. We may use personally identifiable information to provide you with ads that are relevant to you. This may include information related to your use of the WDT Products, such as your name, email address, IP address, subscription information, and account preferences (for example, language and time zone preferences); Additional Information; information about your use of any third-party services (for example, cloud and social media services such as Facebook, Instagram, Dropbox, Google Drive, and OneDrive) connected to the WDT Products; information about your use of Western Digital's services, such as the Western Digital Store, which may include your purchase history, location, and account preferences (for example, language preferences); and information about your use of Western Digital's sites and the use of cookies as described in our Cookie Statement, which is incorporated here by reference and available at https://www.westerndigital.com/legal/cookie-statement.
Termination; Return of the Evaluation Materials.
8.1 Termination. This Agreement shall terminate upon the delivery of written notice of termination by WDT to Beta Tester (e-mail to suffice).
8.2 Return of the Evaluation Materials. Beta Tester may be asked to return to WDT and/or destroy all Evaluation Materials, Confidential Information, and related materials, and within five (5) days after termination of this Agreement, or within two (2) days of WDT's request at any time, Beta Tester shall certify in writing its compliance thereto. If requested to return Evaluation Materials by WDT, Beta Tester shall delete all data stored on any applicable Evaluation Materials prior to returning such Evaluation Materials. It is the Beta Tester's responsibility to delete data from all applicable Evaluation Materials. WDT shall not be responsible for any possible disclosure of data, upon receipt of any Evaluation Materials.
8.3 Survival. The provisions of Sections 3, 4, 5, 6, 7, 8, 9, 10, 11, and 12 shall survive the termination of this Agreement for any reason.
Remedies. Beta Tester agrees that the obligations of Beta Tester provided herein are necessary and reasonable in order to protect WDT and its business, and Beta Tester expressly agrees that monetary damages would be inadequate to compensate WDT for any breach by Beta Tester of its covenants and agreements set forth herein. Accordingly, Beta Tester agrees and acknowledges that any such violation or threatened violation (including without limitation a violation or threatened violation of Section 6) will cause irreparable injury to WDT and that, in addition to any other remedies that may be available in law, in equity, or otherwise, WDT shall be entitled to obtain injunctive relief against the breach or threatened breach of this Agreement or the continuation of any such breach by Beta Tester, without the necessity of proving actual damages or posting a bond.
WARRANTY DISCLAIMER. WDT MAKES NO REPRESENTATION AS TO THE NATURE OR TIMING OF THE DELIVERY OF THE EVALUATION MATERIALS. THE EVALUATION MATERIALS MAY CONTAIN DEFECTS, MAY RESULT IN LOSS OF DATA IN THE EVALUATION MATERIALS AND THE BETA TESTER'S COMPUTER SYSTEMS, AND ARE PROVIDED FOR LIMITED EVALUATION ONLY. THE EVALUATION MATERIALS AND ANY ANCILLARY SERVICES (INCLUDING, WITHOUT LIMITATION, INSTALLATION OR SUPPORT) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WDT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NON‑INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY. THE TOTAL LIABILITY OF WDT ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED TWENTY-FIVE DOLLARS ($25.00). IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY LOSS OF DATA IN THE EVALUATION MATERIALS OR THE BETA TESTER'S COMPUTER SYSTEM. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BUT FOR BETA TESTER'S ACCEPTANCE OF THIS SECTION 11, WDT WOULD NOT HAVE GRANTED THE LICENSE HEREIN.
Miscellaneous. This Agreement shall be governed by the laws of California without reference to conflict of laws principles. Jurisdiction and venue for any dispute arising from or related to this Agreement shall be in the federal and state courts of Santa Clara County, California, U.S.A., and each party hereby consents to the exclusive jurisdiction and venue of such courts. Beta Tester shall not assign this Agreement, directly or indirectly, by operation of law or otherwise, without the prior written consent of WDT. WDT shall have the right to assign this Agreement in connection with a merger, acquisition, sale of assets, change of control, or similar arrangement. Beta Tester shall comply in all respects with all U.S. and foreign export and re-export laws and regulations applicable to the Evaluation Materials, technology, and documentation provided hereunder. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and shall supersede and replace any prior agreement on the subject matter hereto. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect. The headings contained herein are for reference only and shall not affect the scope or intent of any clause or provision of this Agreement.

WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Additional Information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the transmission, collection, use, or exploitation of the Additional Information by WDT.
7.3 Consent to Collection and Use of Personally Identifiable Information for Marketing Communications. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF PERSONALLY IDENTIFIABLE INFORMATION FOR MARKETING COMMUNICATIONS AS DESCRIBED IN THIS SECTION. WDT may use personally identifiable information from your use of WDT's products and services to send you marketing communications, including targeted advertisements, via in-app messages, push notifications, and email. We may use personally identifiable information to provide you with ads that are relevant to you. This may include information related to your use of the WDT Products, such as your name, email address, IP address, subscription information, and account preferences (for example, language and time zone preferences); Additional Information; information about your use of any third-party services (for example, cloud and social media services such as Facebook, Instagram, Dropbox, Google Drive, and OneDrive) connected to the WDT Products; information about your use of Western Digital's services, such as the Western Digital Store, which may include your purchase history, location, and account preferences (for example, language preferences); and information about your use of Western Digital's sites and the use of cookies as described in our Cookie Statement, which is incorporated here by reference and available at https://www.westerndigital.com/legal/cookie-statement.
Termination; Return of the Evaluation Materials.
8.1 Termination. This Agreement shall terminate upon the delivery of written notice of termination by WDT to Beta Tester (e-mail to suffice).
8.2 Return of the Evaluation Materials. Beta Tester may be asked to return to WDT and/or destroy all Evaluation Materials, Confidential Information, and related materials, and within five (5) days after termination of this Agreement, or within two (2) days of WDT's request at any time, Beta Tester shall certify in writing its compliance thereto. If requested to return Evaluation Materials by WDT, Beta Tester shall delete all data stored on any applicable Evaluation Materials prior to returning such Evaluation Materials. It is the Beta Tester's responsibility to delete data from all applicable Evaluation Materials. WDT shall not be responsible for any possible disclosure of data, upon receipt of any Evaluation Materials.
8.3 Survival. The provisions of Sections 3, 4, 5, 6, 7, 8, 9, 10, 11, and 12 shall survive the termination of this Agreement for any reason.
Remedies. Beta Tester agrees that the obligations of Beta Tester provided herein are necessary and reasonable in order to protect WDT and its business, and Beta Tester expressly agrees that monetary damages would be inadequate to compensate WDT for any breach by Beta Tester of its covenants and agreements set forth herein. Accordingly, Beta Tester agrees and acknowledges that any such violation or threatened violation (including without limitation a violation or threatened violation of Section 6) will cause irreparable injury to WDT and that, in addition to any other remedies that may be available in law, in equity, or otherwise, WDT shall be entitled to obtain injunctive relief against the breach or threatened breach of this Agreement or the continuation of any such breach by Beta Tester, without the necessity of proving actual damages or posting a bond.
WARRANTY DISCLAIMER. WDT MAKES NO REPRESENTATION AS TO THE NATURE OR TIMING OF THE DELIVERY OF THE EVALUATION MATERIALS. THE EVALUATION MATERIALS MAY CONTAIN DEFECTS, MAY RESULT IN LOSS OF DATA IN THE EVALUATION MATERIALS AND THE BETA TESTER'S COMPUTER SYSTEMS, AND ARE PROVIDED FOR LIMITED EVALUATION ONLY. THE EVALUATION MATERIALS AND ANY ANCILLARY SERVICES (INCLUDING, WITHOUT LIMITATION, INSTALLATION OR SUPPORT) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WDT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NON‑INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY. THE TOTAL LIABILITY OF WDT ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED TWENTY-FIVE DOLLARS ($25.00). IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY LOSS OF DATA IN THE EVALUATION MATERIALS OR THE BETA TESTER'S COMPUTER SYSTEM. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BUT FOR BETA TESTER'S ACCEPTANCE OF THIS SECTION 11, WDT WOULD NOT HAVE GRANTED THE LICENSE HEREIN.
Miscellaneous. This Agreement shall be governed by the laws of California without reference to conflict of laws principles. Jurisdiction and venue for any dispute arising from or related to this Agreement shall be in the federal and state courts of Santa Clara County, California, U.S.A., and each party hereby consents to the exclusive jurisdiction and venue of such courts. Beta Tester shall not assign this Agreement, directly or indirectly, by operation of law or otherwise, without the prior written consent of WDT. WDT shall have the right to assign this Agreement in connection with a merger, acquisition, sale of assets, change of control, or similar arrangement. Beta Tester shall comply in all respects with all U.S. and foreign export and re-export laws and regulations applicable to the Evaluation Materials, technology, and documentation provided hereunder. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and shall supersede and replace any prior agreement on the subject matter hereto. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect. The headings contained herein are for reference only and shall not affect the scope or intent of any clause or provision of this Agreement.

This EdgeRover Beta Agreement (this "Agreement") is a legal contract between you as an individual non-commercial beta tester ("you" or "Beta Tester"), and Western Digital Technologies, Inc., its subsidiaries and affiliates (collectively, "WDT") regarding your use and conduct related to the evaluation of data storage software and hardware products and other similar products as provided to you as part of an evaluation program ("WDT Products").

By accepting the terms and conditions of this Agreement you agree and represent that: (i) you would like to participate in a beta test of certain WDT Products, which may include pre-release versions of such WDT Products ("Beta Test"); (ii) you and any members of your household are not employed by any competitor of WDT; (iii) you do not work or consult for any competitor of WDT or the WDT Products; (iv) you are not otherwise employed by a company engaged in any product development that would compete with WDT or the WDT Products; and (v) you are not a member of the press.
Evaluation Materials. "Evaluation Materials" shall mean: (i) any pre-release version of the WDT Products provided to Beta Tester by WDT in connection with the Beta Test or this Agreement; (ii) any software included on, or provided in connection with, such pre-release version of the WDT Products; (iii) any improvements, updates, or inventions related thereto; and (iv) any and all other related information, whether provided orally, visually, or in writing (including, without limitation, features, release dates, product specifications, etc.) provided by WDT to Beta Tester in connection with the Beta Test or this Agreement.
Grant of License. Subject to the terms and conditions of this Agreement, WDT grants to Beta Tester, a personal, limited, nonexclusive, fully revocable, royalty-free, nontransferable, and non-sublicensable right to use the Evaluation Materials solely for evaluating and providing Feedback (as defined below) to WDT.
License Restrictions; Disclaimer.
3.1 License Restrictions. Beta Tester shall not (and shall not allow any third party to): (i) remove, alter, or obscure any proprietary notices contained on or within the Evaluation Materials; (ii) modify, reverse compile, reverse assemble, or reverse engineer all or any portion of the Evaluation Materials; (iii) distribute, disclose, market, rent, lease, sell, or otherwise transfer the Evaluation Materials to any third party; (iv) modify, incorporate into or with other software, or create a derivative work of any part of the Evaluation Materials; (v) disclose the results of the Evaluation Materials' performance benchmarks to any third party without WDT's prior written consent; or (vi) use the Evaluation Materials as a primary storage or networking solution or for production or commercial purposes. Beta Tester shall have no right to transfer, sublicense, or otherwise distribute the Evaluation Materials to any party without the prior written consent of WDT.
3.2 Disclaimer. Beta Tester agrees that the Evaluation Materials are pre-release versions and are not at the level of performance or compatibility of a final, generally available WDT Product offering. The Evaluation Materials may not operate correctly and may be substantially modified prior to first commercial shipment, or withdrawn. In no event shall WDT be liable for any damage whatsoever arising out of the use of or inability to use such Evaluation Materials (including, without limitation, loss of data), even if WDT has been advised of the possibility of such damages.
Ownership. All right, title, and interest in and to the Evaluation Materials, including, without limitation, any improvements, modifications, and enhancements made thereto, are and shall remain in WDT. Except for those rights expressly granted to Beta Tester in Section 2, no other rights are granted, either express or implied, to Beta Tester hereunder.
Feedback. WDT may require Beta Tester to complete surveys and or provide suggestions, comments, technical information, evaluation results, or other feedback concerning the functionality and performance of the Evaluation Materials, including without limitation identifying potential errors and/or improvements ("Feedback") to WDT in connection with this Agreement. Feedback and other information that is provided by Beta Tester to WDT in connection with this Agreement may be used by WDT to improve or enhance its products and, accordingly, WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Feedback and information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the use or exploitation of the Feedback by WDT.
Confidentiality.
6.1 Confidential Information. Regardless of whether marked or designated "confidential" or "proprietary" by WDT, the Evaluation Materials and all trade secrets, performance data, designs, features, layouts, configurations, processes, formulae, specifications, programs, test results, Feedback, technical know-how, methods and procedures of operation, and other information relating thereto (or otherwise obtained in connection with Beta Tester's use or evaluation of the Evaluation Materials) shall be deemed to be confidential information of WDT ("Confidential Information").
6.2 Protection of Confidential Information. Beta Tester acknowledges that WDT claims Confidential Information as a special, valuable, and unique asset. Confidential Information is provided to Beta Tester solely for Beta Tester to evaluate and provide Feedback to WDT, and Beta Tester shall not use Confidential Information in any other manner. Beta Tester agrees that it will not disclose Confidential Information to any third party. Beta Tester shall maintain the confidentiality of Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, but no less than a reasonable degree of care under the circumstances. Without limiting the foregoing, Beta Tester shall not disclose to any third party, including, without limitation, any blog or website, Beta Tester's use of the Evaluation Materials or participation in the Beta Test program, the results of any tests of the Evaluation Materials, including, without limitation, any features, problems, on-screen displays, or any Feedback.
Collection of Information.
7.1 Consent to Use Registration Information. Beta Tester represents and warrants that the information Beta Tester provides to WDT during the Beta Test registration process ("Registration Information") is accurate and acknowledges that Beta Tester's selection as a beta tester may be based on WDT's review of such information. Beta Tester acknowledges and consents to WDT's use of Registration Information for: (i) qualifying Beta Tester into the Beta Test program, (ii) administrating the Beta Test program, and (iii) general marketing purposes. Registration Information shall be otherwise handled by WDT in accordance with its Privacy Statement (currently available at: https://www.westerndigital.com/legal/privacy-statement), which is hereby incorporated by reference.
7.2 Consent to Collection and Use of Additional Information. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF ADDITIONAL INFORMATION AS DESCRIBED IN THIS SECTION. Beta Tester acknowledges that the Evaluation Materials may contain software that collects and automatically reports to WDT certain data, Usage Data (as defined in this section), files, logs, and other related information that may include personally identifiable information (collectively, the "Additional Information"). "Usage Data" includes information about how you use the WDT Products and includes items such as device information and configuration; CPU/device and other usage statistics by application; API calls; service crash information; network status; storage utilization; search terms; file attributes (for example, content metadata such as file size, type, source, creation/modification/access dates and times, camera make/model, location, and tags/descriptions); correlations among files; and third-party account information that you link to the service. You agree that WDT may use Additional Information to improve the quality and performance of WDT's products, services, and apps and to personalize your experience with WDT's products, services, and apps, including by sending you in-app and push notifications. WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Additional Information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester shall not (and shall not allow any third party to): (i) remove, alter, or obscure any proprietary notices contained on or within the Evaluation Materials; (ii) modify, reverse compile, reverse assemble, or reverse engineer all or any portion of the Evaluation Materials; (iii) distribute, disclose, market, rent, lease, sell, or otherwise transfer the Evaluation Materials to any third party; (iv) modify, incorporate into or with other software, or create a derivative work of any part of the Evaluation Materials; (v) disclose the results of the Evaluation Materials' performance benchmarks to any third party without WDT's prior written consent; or (vi) use the Evaluation Materials as a primary storage or networking solution or for production or commercial purposes. Beta Tester shall have no right to transfer, sublicense, or otherwise distribute the Evaluation Materials to any party without the prior written consent of WDT.
3.2 Disclaimer. Beta Tester agrees that the Evaluation Materials are pre-release versions and are not at the level of performance or compatibility of a final, generally available WDT Product offering. The Evaluation Materials may not operate correctly and may be substantially modified prior to first commercial shipment, or withdrawn. In no event shall WDT be liable for any damage whatsoever arising out of the use of or inability to use such Evaluation Materials (including, without limitation, loss of data), even if WDT has been advised of the possibility of such damages.
Ownership. All right, title, and interest in and to the Evaluation Materials, including, without limitation, any improvements, modifications, and enhancements made thereto, are and shall remain in WDT. Except for those rights expressly granted to Beta Tester in Section 2, no other rights are granted, either express or implied, to Beta Tester hereunder.
Feedback. WDT may require Beta Tester to complete surveys and or provide suggestions, comments, technical information, evaluation results, or other feedback concerning the functionality and performance of the Evaluation Materials, including without limitation identifying potential errors and/or improvements ("Feedback") to WDT in connection with this Agreement. Feedback and other information that is provided by Beta Tester to WDT in connection with this Agreement may be used by WDT to improve or enhance its products and, accordingly, WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Feedback and information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the use or exploitation of the Feedback by WDT.
Confidentiality.
6.1 Confidential Information. Regardless of whether marked or designated "confidential" or "proprietary" by WDT, the Evaluation Materials and all trade secrets, performance data, designs, features, layouts, configurations, processes, formulae, specifications, programs, test results, Feedback, technical know-how, methods and procedures of operation, and other information relating thereto (or otherwise obtained in connection with Beta Tester's use or evaluation of the Evaluation Materials) shall be deemed to be confidential information of WDT ("Confidential Information").
6.2 Protection of Confidential Information. Beta Tester acknowledges that WDT claims Confidential Information as a special, valuable, and unique asset. Confidential Information is provided to Beta Tester solely for Beta Tester to evaluate and provide Feedback to WDT, and Beta Tester shall not use Confidential Information in any other manner. Beta Tester agrees that it will not disclose Confidential Information to any third party. Beta Tester shall maintain the confidentiality of Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, but no less than a reasonable degree of care under the circumstances. Without limiting the foregoing, Beta Tester shall not disclose to any third party, including, without limitation, any blog or website, Beta Tester's use of the Evaluation Materials or participation in the Beta Test program, the results of any tests of the Evaluation Materials, including, without limitation, any features, problems, on-screen displays, or any Feedback.
Collection of Information.
7.1 Consent to Use Registration Information. Beta Tester represents and warrants that the information Beta Tester provides to WDT during the Beta Test registration process ("Registration Information") is accurate and acknowledges that Beta Tester's selection as a beta tester may be based on WDT's review of such information. Beta Tester acknowledges and consents to WDT's use of Registration Information for: (i) qualifying Beta Tester into the Beta Test program, (ii) administrating the Beta Test program, and (iii) general marketing purposes. Registration Information shall be otherwise handled by WDT in accordance with its Privacy Statement (currently available at: https://www.westerndigital.com/legal/privacy-statement), which is hereby incorporated by reference.
7.2 Consent to Collection and Use of Additional Information. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF ADDITIONAL INFORMATION AS DESCRIBED IN THIS SECTION. Beta Tester acknowledges that the Evaluation Materials may contain software that collects and automatically reports to WDT certain data, Usage Data (as defined in this section), files, logs, and other related information that may include personally identifiable information (collectively, the "Additional Information"). "Usage Data" includes information about how you use the WDT Products and includes items such as device information and configuration; CPU/device and other usage statistics by application; API calls; service crash information; network status; storage utilization; search terms; file attributes (for example, content metadata such as file size, type, source, creation/modification/access dates and times, camera make/model, location, and tags/descriptions); correlations among files; and third-party account information that you link to the service. You agree that WDT may use Additional Information to improve the quality and performance of WDT's products, services, and apps and to personalize your experience with WDT's products, services, and apps, including by sending you in-app and push notifications. WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Additional Information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the transmission, collection, use, or exploitation of the Additional Information by WDT.
7.3 Consent to Collection and Use of Personally Identifiable Information for Marketing Communications. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF PERSONALLY IDENTIFIABLE INFORMATION FOR MARKETING COMMUNICATIONS AS DESCRIBED IN THIS SECTION. WDT may use personally identifiable information from your use of WDT's products and services to send you marketing communications, including targeted advertisements, via in-app messages, push notifications, and email. We may use personally identifiable information to provide you with ads that are relevant to you. This may include information related to your use of the WDT Products, such as your name, email address, IP address, subscription information, and account preferences (for example, language and time zone preferences); Additional Information; information about your use of any third-party services (for example, cloud and social media services such as Facebook, Instagram, Dropbox, Google Drive, and OneDrive) connected to the WDT Products; information about your use of Western Digital's services, such as the Western Digital Store, which may include your purchase history, location, and account preferences (for example, language preferences); and information about your use of Western Digital's sites and the use of cookies as described in our Cookie Statement, which is incorporated here by reference and available at https://www.westerndigital.com/legal/cookie-statement.
Termination; Return of the Evaluation Materials.
8.1 Termination. This Agreement shall terminate upon the delivery of written notice of termination by WDT to Beta Tester (e-mail to suffice).
8.2 Return of the Evaluation Materials. Beta Tester may be asked to return to WDT and/or destroy all Evaluation Materials, Confidential Information, and related materials, and within five (5) days after termination of this Agreement, or within two (2) days of WDT's request at any time, Beta Tester shall certify in writing its compliance thereto. If requested to return Evaluation Materials by WDT, Beta Tester shall delete all data stored on any applicable Evaluation Materials prior to returning such Evaluation Materials. It is the Beta Tester's responsibility to delete data from all applicable Evaluation Materials. WDT shall not be responsible for any possible disclosure of data, upon receipt of any Evaluation Materials.
8.3 Survival. The provisions of Sections 3, 4, 5, 6, 7, 8, 9, 10, 11, and 12 shall survive the termination of this Agreement for any reason.
Remedies. Beta Tester agrees that the obligations of Beta Tester provided herein are necessary and reasonable in order to protect WDT and its business, and Beta Tester expressly agrees that monetary damages would be inadequate to compensate WDT for any breach by Beta Tester of its covenants and agreements set forth herein. Accordingly, Beta Tester agrees and acknowledges that any such violation or threatened violation (including without limitation a violation or threatened violation of Section 6) will cause irreparable injury to WDT and that, in addition to any other remedies that may be available in law, in equity, or otherwise, WDT shall be entitled to obtain injunctive relief against the breach or threatened breach of this Agreement or the continuation of any such breach by Beta Tester, without the necessity of proving actual damages or posting a bond.
WARRANTY DISCLAIMER. WDT MAKES NO REPRESENTATION AS TO THE NATURE OR TIMING OF THE DELIVERY OF THE EVALUATION MATERIALS. THE EVALUATION MATERIALS MAY CONTAIN DEFECTS, MAY RESULT IN LOSS OF DATA IN THE EVALUATION MATERIALS AND THE BETA TESTER'S COMPUTER SYSTEMS, AND ARE PROVIDED FOR LIMITED EVALUATION ONLY. THE EVALUATION MATERIALS AND ANY ANCILLARY SERVICES (INCLUDING, WITHOUT LIMITATION, INSTALLATION OR SUPPORT) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WDT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NON‑INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY. THE TOTAL LIABILITY OF WDT ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED TWENTY-FIVE DOLLARS ($25.00). IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY LOSS OF DATA IN THE EVALUATION MATERIALS OR THE BETA TESTER'S COMPUTER SYSTEM. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BUT FOR BETA TESTER'S ACCEPTANCE OF THIS SECTION 11, WDT WOULD NOT HAVE GRANTED THE LICENSE HEREIN.
Miscellaneous. This Agreement shall be governed by the laws of California without reference to conflict of laws principles. Jurisdiction and venue for any dispute arising from or related to this Agreement shall be in the federal and state courts of Santa Clara County, California, U.S.A., and each party hereby consents to the exclusive jurisdiction and venue of such courts. Beta Tester shall not assign this Agreement, directly or indirectly, by operation of law or otherwise, without the prior written consent of WDT. WDT shall have the right to assign this Agreement in connection with a merger, acquisition, sale of assets, change of control, or similar arrangement. Beta Tester shall comply in all respects with all U.S. and foreign export and re-export laws and regulations applicable to the Evaluation Materials, technology, and documentation provided hereunder. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and shall supersede and replace any prior agreement on the subject matter hereto. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect. The headings contained herein are for reference only and shall not affect the scope or intent of any clause or provision of this Agreement.

This EdgeRover Beta Agreement (this "Agreement") is a legal contract between you as an individual non-commercial beta tester ("you" or "Beta Tester"), and Western Digital Technologies, Inc., its subsidiaries and affiliates (collectively, "WDT") regarding your use and conduct related to the evaluation of data storage software and hardware products and other similar products as provided to you as part of an evaluation program ("WDT Products").
IMPORTANT – PLEASE READ THIS AGREEMENT CAREFULLY. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT YOU AGREE TO THE COLLECTION AND USE OF CERTAIN INFORMATION, INCLUDING PERSONALLY IDENTIFIABLE INFORMATION, AS DESCRIBED IN SECTION 7. YOU UNDERSTAND AND AGREE THAT WESTERN DIGITAL WILL TRANSFER, PROCESS AND STORE YOUR DATA TO/IN OTHER COUNTRIES, INCLUDING THE UNITED STATES.

By accepting the terms and conditions of this Agreement you agree and represent that: (i) you would like to participate in a beta test of certain WDT Products, which may include pre-release versions of such WDT Products ("Beta Test"); (ii) you and any members of your household are not employed by any competitor of WDT; (iii) you do not work or consult for any competitor of WDT or the WDT Products; (iv) you are not otherwise employed by a company engaged in any product development that would compete with WDT or the WDT Products; and (v) you are not a member of the press.
Evaluation Materials. "Evaluation Materials" shall mean: (i) any pre-release version of the WDT Products provided to Beta Tester by WDT in connection with the Beta Test or this Agreement; (ii) any software included on, or provided in connection with, such pre-release version of the WDT Products; (iii) any improvements, updates, or inventions related thereto; and (iv) any and all other related information, whether provided orally, visually, or in writing (including, without limitation, features, release dates, product specifications, etc.) provided by WDT to Beta Tester in connection with the Beta Test or this Agreement.
Grant of License. Subject to the terms and conditions of this Agreement, WDT grants to Beta Tester, a personal, limited, nonexclusive, fully revocable, royalty-free, nontransferable, and non-sublicensable right to use the Evaluation Materials solely for evaluating and providing Feedback (as defined below) to WDT.

IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY LOSS OF DATA IN THE EVALUATION MATERIALS OR THE BETA TESTER'S COMPUTER SYSTEM. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BUT FOR BETA TESTER'S ACCEPTANCE OF THIS SECTION 11, WDT WOULD NOT HAVE GRANTED THE LICENSE HEREIN.
Miscellaneous. This Agreement shall be governed by the laws of California without reference to conflict of laws principles. Jurisdiction and venue for any dispute arising from or related to this Agreement shall be in the federal and state courts of Santa Clara County, California, U.S.A., and each party hereby consents to the exclusive jurisdiction and venue of such courts. Beta Tester shall not assign this Agreement, directly or indirectly, by operation of law or otherwise, without the prior written consent of WDT. WDT shall have the right to assign this Agreement in connection with a merger, acquisition, sale of assets, change of control, or similar arrangement. Beta Tester shall comply in all respects with all U.S. and foreign export and re-export laws and regulations applicable to the Evaluation Materials, technology, and documentation provided hereunder. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and shall supersede and replace any prior agreement on the subject matter hereto. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect. This EdgeRover Beta Agreement (this "Agreement") is a legal contract between you as an individual non-commercial beta tester ("you" or "Beta Tester"), and Western Digital Technologies, Inc., its subsidiaries and affiliates (collectively, "WDT") regarding your use and conduct related to the evaluation of data storage software and hardware products and other similar products as provided to you as part of an evaluation program ("WDT Products").

By accepting the terms and conditions of this Agreement you agree and represent that: (i) you would like to participate in a beta test of certain WDT Products, which may include pre-release versions of such WDT Products ("Beta Test"); (ii) you and any members of your household are not employed by any competitor of WDT; (iii) you do not work or consult for any competitor of WDT or the WDT Products; (iv) you are not otherwise employed by a company engaged in any product development that would compete with WDT or the WDT Products; and (v) you are not a member of the press.
Evaluation Materials. "Evaluation Materials" shall mean: (i) any pre-release version of the WDT Products provided to Beta Tester by WDT in connection with the Beta Test or this Agreement; (ii) any software included on, or provided in connection with, such pre-release version of the WDT Products; (iii) any improvements, updates, or inventions related thereto; and (iv) any and all other related information, whether provided orally, visually, or in writing (including, without limitation, features, release dates, product specifications, etc.) provided by WDT to Beta Tester in connection with the Beta Test or this Agreement.
Grant of License. Subject to the terms and conditions of this Agreement, WDT grants to Beta Tester, a personal, limited, nonexclusive, fully revocable, royalty-free, nontransferable, and non-sublicensable right to use the Evaluation Materials solely for evaluating and providing Feedback (as defined below) to WDT.
License Restrictions; Disclaimer.
3.1 License Restrictions. Beta Tester shall not (and shall not allow any third party to): (i) remove, alter, or obscure any proprietary notices contained on or within the Evaluation Materials; (ii) modify, reverse compile, reverse assemble, or reverse engineer all or any portion of the Evaluation Materials; (iii) distribute, disclose, market, rent, lease, sell, or otherwise transfer the Evaluation Materials to any third party; (iv) modify, incorporate into or with other software, or create a derivative work of any part of the Evaluation Materials; (v) disclose the results of the Evaluation Materials' performance benchmarks to any third party without WDT's prior written consent; or (vi) use the Evaluation Materials as a primary storage or networking solution or for production or commercial purposes. Beta Tester shall have no right to transfer, sublicense, or otherwise distribute the Evaluation Materials to any party without the prior written consent of WDT.
3.2 Disclaimer. Beta Tester agrees that the Evaluation Materials are pre-release versions and are not at the level of performance or compatibility of a final, generally available WDT Product offering. The Evaluation Materials may not operate correctly and may be substantially modified prior to first commercial shipment, or withdrawn. In no event shall WDT be liable for any damage whatsoever arising out of the use of or inability to use such Evaluation Materials (including, without limitation, loss of data), even if WDT has been advised of the possibility of such damages.
Ownership. All right, title, and interest in and to the Evaluation Materials, including, without limitation, any improvements, modifications, and enhancements made thereto, are and shall remain in WDT. Except for those rights expressly granted to Beta Tester in Section 2, no other rights are granted, either express or implied, to Beta Tester hereunder.
Feedback. WDT may require Beta Tester to complete surveys and or provide suggestions, comments, technical information, evaluation results, or other feedback concerning the functionality and performance of the Evaluation Materials, including without limitation identifying potential errors and/or improvements ("Feedback") to WDT in connection with this Agreement. Feedback and other information that is provided by Beta Tester to WDT in connection with this Agreement may be used by WDT to improve or enhance its products and, accordingly, WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Feedback and information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the use or exploitation of the Feedback by WDT.
Confidentiality.
6.1 Confidential Information. Regardless of whether marked or designated "confidential" or "proprietary" by WDT, the Evaluation Materials and all trade secrets, performance data, designs, features, layouts, configurations, processes, formulae, specifications, programs, test results, Feedback, technical know-how, methods and procedures of operation, and other information relating thereto (or otherwise obtained in connection with Beta Tester's use or evaluation of the Evaluation Materials) shall be deemed to be confidential information of WDT ("Confidential Information").
6.2 Protection of Confidential Information. Beta Tester acknowledges that WDT claims Confidential Information as a special, valuable, and unique asset. Confidential Information is provided to Beta Tester solely for Beta Tester to evaluate and provide Feedback to WDT, and Beta Tester shall not use Confidential Information in any other manner. Beta Tester agrees that it will not disclose Confidential Information to any third party. Beta Tester shall maintain the confidentiality of Confidential Information with at least the same degree of care that it uses to protect its own confidential and proprietary information, but no less than a reasonable degree of care under the circumstances. Without limiting the foregoing, Beta Tester shall not disclose to any third party, including, without limitation, any blog or website, Beta Tester's use of the Evaluation Materials or participation in the Beta Test program, the results of any tests of the Evaluation Materials, including, without limitation, any features, problems, on-screen displays, or any Feedback.
Collection of Information.
7.1 Consent to Use Registration Information. Beta Tester represents and warrants that the information Beta Tester provides to WDT during the Beta Test registration process ("Registration Information") is accurate and acknowledges that Beta Tester's selection as a beta tester may be based on WDT's review of such information. Beta Tester acknowledges and consents to WDT's use of Registration Information for: (i) qualifying Beta Tester into the Beta Test program, (ii) administrating the Beta Test program, and (iii) general marketing purposes. Registration Information shall be otherwise handled by WDT in accordance with its Privacy Statement (currently available at: https://www.westerndigital.com/legal/privacy-statement), which is hereby incorporated by reference.
7.2 Consent to Collection and Use of Additional Information. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF ADDITIONAL INFORMATION AS DESCRIBED IN THIS SECTION. Beta Tester acknowledges that the Evaluation Materials may contain software that collects and automatically reports to WDT certain data, Usage Data (as defined in this section), files, logs, and other related information that may include personally identifiable information (collectively, the "Additional Information"). "Usage Data" includes information about how you use the WDT Products and includes items such as device information and configuration; CPU/device and other usage statistics by application; API calls; service crash information; network status; storage utilization; search terms; file attributes (for example, content metadata such as file size, type, source, creation/modification/access dates and times, camera make/model, location, and tags/descriptions); correlations among files; and third-party account information that you link to the service. You agree that WDT may use Additional Information to improve the quality and performance of WDT's products, services, and apps and to personalize your experience with WDT's products, services, and apps, including by sending you in-app and push notifications. WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Additional Information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the transmission, collection, use, or exploitation of the Additional Information by WDT.
7.3 Consent to Collection and Use of Personally Identifiable Information for Marketing Communications. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF PERSONALLY IDENTIFIABLE INFORMATION FOR MARKETING COMMUNICATIONS AS DESCRIBED IN THIS SECTION. WDT may use personally identifiable information from your use of WDT's products and services to send you marketing communications, including targeted advertisements, via in-app messages, push notifications, and email. We may use personally identifiable information to provide you with ads that are relevant to you. This may include information related to your use of the WDT Products, such as your name, email address, IP address, subscription information, and account preferences (for example, language and time zone preferences); Additional Information; information about your use of any third-party services (for example, cloud and social media services such as Facebook, Instagram, Dropbox, Google Drive, and OneDrive) connected to the WDT Products; information about your use of Western Digital's services, such as the Western Digital Store, which may include your purchase history, location, and account preferences (for example, language preferences); and information about your use of Western Digital's sites and the use of cookies as described in our Cookie Statement, which is incorporated here by reference and available at https://www.westerndigital.com/legal/cookie-statement.
Termination; Return of the Evaluation Materials.
8.1 Termination. This Agreement shall terminate upon the delivery of written notice of termination by WDT to Beta Tester (e-mail to suffice).
8.2 Return of the Evaluation Materials. Beta Tester may be asked to return to WDT and/or destroy all Evaluation Materials, Confidential Information, and related materials, and within five (5) days after termination of this Agreement, or within two (2) days of WDT's request at any time, Beta Tester shall certify in writing its compliance thereto. If requested to return Evaluation Materials by WDT, Beta Tester shall delete all data stored on any applicable Evaluation Materials prior to returning such Evaluation Materials. It is the Beta Tester's responsibility to delete data from all applicable Evaluation Materials. WDT shall not be responsible for any possible disclosure of data, upon receipt of any Evaluation Materials.
8.3 Survival. The provisions of Sections 3, 4, 5, 6, 7, 8, 9, 10, 11, and 12 shall survive the termination of this Agreement for any reason.
Remedies. Beta Tester agrees that the obligations of Beta Tester provided herein are necessary and reasonable in order to protect WDT and its business, and Beta Tester expressly agrees that monetary damages would be inadequate to compensate WDT for any breach by Beta Tester of its covenants and agreements set forth herein. Accordingly, Beta Tester agrees and acknowledges that any such violation or threatened violation (including without limitation a violation or threatened violation of Section 6) will cause irreparable injury to WDT and that, in addition to any other remedies that may be available in law, in equity, or otherwise, WDT shall be entitled to obtain injunctive relief against the breach or threatened breach of this Agreement or the continuation of any such breach by Beta Tester, without the necessity of proving actual damages or posting a bond.
WARRANTY DISCLAIMER. WDT MAKES NO REPRESENTATION AS TO THE NATURE OR TIMING OF THE DELIVERY OF THE EVALUATION MATERIALS. THE EVALUATION MATERIALS MAY CONTAIN DEFECTS, MAY RESULT IN LOSS OF DATA IN THE EVALUATION MATERIALS AND THE BETA TESTER'S COMPUTER SYSTEMS, AND ARE PROVIDED FOR LIMITED EVALUATION ONLY. THE EVALUATION MATERIALS AND ANY ANCILLARY SERVICES (INCLUDING, WITHOUT LIMITATION, INSTALLATION OR SUPPORT) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WDT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NON‑INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY. THE TOTAL LIABILITY OF WDT ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED TWENTY-FIVE DOLLARS ($25.00). IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY LOSS OF DATA IN THE EVALUATION MATERIALS OR THE BETA TESTER'S COMPUTER SYSTEM. Beta Tester acknowledges that the Evaluation Materials may contain software that collects and automatically reports to WDT certain data, Usage Data (as defined in this section), files, logs, and other related information that may include personally identifiable information (collectively, the "Additional Information"). "Usage Data" includes information about how you use the WDT Products and includes items such as device information and configuration; CPU/device and other usage statistics by application; API calls; service crash information; network status; storage utilization; search terms; file attributes (for example, content metadata such as file size, type, source, creation/modification/access dates and times, camera make/model, location, and tags/descriptions); correlations among files; and third-party account information that you link to the service. You agree that WDT may use Additional Information to improve the quality and performance of WDT's products, services, and apps and to personalize your experience with WDT's products, services, and apps, including by sending you in-app and push notifications. WDT shall have a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, distribute, modify, and otherwise exploit such Additional Information for any purpose and in any medium or product without restriction. Such right and license shall survive any termination or expiration of this Agreement for any reason. Beta Tester covenants that it will not assert against WDT or any of its directors, officers, employees, subcontractors, or agents any claim or action arising from the transmission, collection, use, or exploitation of the Additional Information by WDT.
7.3 Consent to Collection and Use of Personally Identifiable Information for Marketing Communications. BY CLICKING TO ACCEPT THE TERMS IN THIS AGREEMENT OR BY SIGNING THIS AGREEMENT, YOU CONSENT TO WDT'S COLLECTION AND USE OF PERSONALLY IDENTIFIABLE INFORMATION FOR MARKETING COMMUNICATIONS AS DESCRIBED IN THIS SECTION. WDT may use personally identifiable information from your use of WDT's products and services to send you marketing communications, including targeted advertisements, via in-app messages, push notifications, and email. We may use personally identifiable information to provide you with ads that are relevant to you. This may include information related to your use of the WDT Products, such as your name, email address, IP address, subscription information, and account preferences (for example, language and time zone preferences); Additional Information; information about your use of any third-party services (for example, cloud and social media services such as Facebook, Instagram, Dropbox, Google Drive, and OneDrive) connected to the WDT Products; information about your use of Western Digital's services, such as the Western Digital Store, which may include your purchase history, location, and account preferences (for example, language preferences); and information about your use of Western Digital's sites and the use of cookies as described in our Cookie Statement, which is incorporated here by reference and available at https://www.westerndigital.com/legal/cookie-statement.
Termination; Return of the Evaluation Materials.
8.1 Termination. This Agreement shall terminate upon the delivery of written notice of termination by WDT to Beta Tester (e-mail to suffice).
8.2 Return of the Evaluation Materials. Beta Tester may be asked to return to WDT and/or destroy all Evaluation Materials, Confidential Information, and related materials, and within five (5) days after termination of this Agreement, or within two (2) days of WDT's request at any time, Beta Tester shall certify in writing its compliance thereto. If requested to return Evaluation Materials by WDT, Beta Tester shall delete all data stored on any applicable Evaluation Materials prior to returning such Evaluation Materials. It is the Beta Tester's responsibility to delete data from all applicable Evaluation Materials. WDT shall not be responsible for any possible disclosure of data, upon receipt of any Evaluation Materials.
8.3 Survival. The provisions of Sections 3, 4, 5, 6, 7, 8, 9, 10, 11, and 12 shall survive the termination of this Agreement for any reason.
Remedies. Beta Tester agrees that the obligations of Beta Tester provided herein are necessary and reasonable in order to protect WDT and its business, and Beta Tester expressly agrees that monetary damages would be inadequate to compensate WDT for any breach by Beta Tester of its covenants and agreements set forth herein. Accordingly, Beta Tester agrees and acknowledges that any such violation or threatened violation (including without limitation a violation or threatened violation of Section 6) will cause irreparable injury to WDT and that, in addition to any other remedies that may be available in law, in equity, or otherwise, WDT shall be entitled to obtain injunctive relief against the breach or threatened breach of this Agreement or the continuation of any such breach by Beta Tester, without the necessity of proving actual damages or posting a bond.
WARRANTY DISCLAIMER. WDT MAKES NO REPRESENTATION AS TO THE NATURE OR TIMING OF THE DELIVERY OF THE EVALUATION MATERIALS. THE EVALUATION MATERIALS MAY CONTAIN DEFECTS, MAY RESULT IN LOSS OF DATA IN THE EVALUATION MATERIALS AND THE BETA TESTER'S COMPUTER SYSTEMS, AND ARE PROVIDED FOR LIMITED EVALUATION ONLY. THE EVALUATION MATERIALS AND ANY ANCILLARY SERVICES (INCLUDING, WITHOUT LIMITATION, INSTALLATION OR SUPPORT) ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WDT SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, NON‑INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE.
LIMITATION OF LIABILITY. THE TOTAL LIABILITY OF WDT ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED TWENTY-FIVE DOLLARS ($25.00). IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, IN NO EVENT SHALL WDT HAVE LIABILITY FOR ANY LOSS OF DATA IN THE EVALUATION MATERIALS OR THE BETA TESTER'S COMPUTER SYSTEM. THE FOREGOING LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. BUT FOR BETA TESTER'S ACCEPTANCE OF THIS SECTION 11, WDT WOULD NOT HAVE GRANTED THE LICENSE HEREIN.
Miscellaneous. This Agreement shall be governed by the laws of California without reference to conflict of laws principles. Jurisdiction and venue for any dispute arising from or related to this Agreement shall be in the federal and state courts of Santa Clara County, California, U.S.A., and each party hereby consents to the exclusive jurisdiction and venue of such courts. Beta Tester shall not assign this Agreement, directly or indirectly, by operation of law or otherwise, without the prior written consent of WDT. WDT shall have the right to assign this Agreement in connection with a merger, acquisition, sale of assets, change of control, or similar arrangement. Beta Tester shall comply in all respects with all U.S. and foreign export and re-export laws and regulations applicable to the Evaluation Materials, technology, and documentation provided hereunder. This Agreement constitutes the entire agreement between the parties relating to the subject matter hereof and shall supersede and replace any prior agreement on the subject matter hereto. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect. The headings contained herein are for reference only and shall not affect the scope or intent of any clause or provision of this Agreement.

En acceptant les termes et conditions du présent accord, vous acceptez et déclarez que : (i) vous souhaitez participer à un bêta-test de certains produits WDT, qui peuvent inclure des versions préliminaires (« Bêta-test ») ; (ii) vous et les membres de votre foyer n'êtes pas employés par un concurrent de WDT ; (iii) vous n'êtes pas employé ou consultant pour un concurrent de WDT ou des produits WDT ; (iv) vous n'êtes pas autrement employé par une société engagée dans le développement d'un produit qui serait en concurrence avec WDT ou les produits WDT ; et (v) vous n'êtes pas membre d'un service de presse.
Produits d'évaluation. « Produits d'évaluation » désigne : (i) toute version préliminaire des Produits WDT fournie au Bêta-testeur par WDT en relation avec le Bêta-Test ou avec le présent Accord ; (ii) tout logiciel inclus dans, ou fourni en relation avec, cette version préliminaire des produits WDT ; (iii) toute amélioration, mise à jour, ou invention liée à celle-ci ; et (iv) toute autre information liée, qu'elle soit fournie oralement, visuellement, ou par écrit (y compris, mais sans s'y limiter, les caractéristiques, les dates de sortie, les spécifications du produit, etc. fournies au Bêta-testeur en relation avec le Bêta-Test ou avec le présent Accord.
Octroi de la licence. Sous réserve des termes et conditions du présent Accord, WDT accorde au Bêta-testeur un droit personnel, limité, non exclusif, entièrement révocable, libre de droits, non transférable et non sous-licenciable d'utiliser les Produits d'évaluation uniquement pour évaluer et fournir un Avis (comme défini ci-dessous) à WDT.
Restrictions de licence ; Avis de non-responsabilité.
3.1 Restrictions de licence. Le Bêta-testeur ne doit pas (et ne doit pas permettre à un tiers de) : (i) supprimer, altérer ou masquer les mentions de propriété actuelle sur ou dans les Produits d'évaluation ; (ii) modifier, décompiler, désassembler ou analyser par ingénierie inverse tout ou partie des Produits d'évaluation ; (iii) distribuer, divulguer, commercialiser, louer, vendre ou transférer de quelque manière que ce soit les Produits d'évaluation à un tiers ; (iv) modifier, incorporer dans ou avec d'autres logiciels, ou créer un travail dérivé d'une partie des Produits d'évaluation quelle qu'elle soit ; (v) divulguer les résultats des performances des Produits d'évaluation à tout tiers sans le consentement écrit préalable de WDT ; ou (vi) utiliser les Produits d'évaluation comme une solution de stockage primaire ou de réseautage ou à des fins de production ou commerciales. Le Bêta-testeur n'a pas le droit de transférer, de sous-licencier ou de distribuer de toute autre manière les Produits d'évaluation à une partie quelconque sans le consentement écrit préalable de WDT.
3.2 Avis de non-responsabilité. Le Bêta-testeur comprend que les Produits d'évaluation sont des versions préliminaires et n'offrent pas le même niveau de performance ou de compatibilité qu'une offre de produit WDT finale et généralement accessible au public. Les Produits d'évaluation peuvent ne pas fonctionner correctement et peuvent être substantiellement modifiés avant la première commercialisation, ou retirés du marché. En aucun cas, WDT ne peut être tenu responsable de tout dommage, quel qu'il soit, résultant de l'utilisation ou de l'incapacité à utiliser ces Produits d'évaluation (y compris, mais sans s'y limiter, la perte de données), même si WDT a été informé de la possibilité de tels dommages.
Propriété. Tous les droits, titres et intérêts relatifs aux Produits d'évaluation, y compris, mais sans s'y limiter, toutes les améliorations, modifications et tous les perfectionnements qui y sont apportés, sont et resteront la propriété de WDT. WDT peut demander au Bêta-testeur de répondre à des enquêtes et/ou de fournir des suggestions, des commentaires, des informations techniques, des résultats d'évaluation ou d'autres avis concernant la fonctionnalité et la performance des Produits d'évaluation, y compris, mais sans s'y limiter, l'identification d'erreurs et/ou d'améliorations potentielles (« Avis ») à WDT en relation avec le présent Accord. Les Avis et les autres informations qui sont fournis par le Bêta-testeur à WDT dans le cadre du présent Accord peuvent être utilisés par WDT pour améliorer ou perfectionner ses produits et, en conséquence, WDT aura un droit et une licence non exclusive, perpétuelle, irrévocable, libre de redevance, mondiale pour utiliser, reproduire, divulguer, distribuer, modifier et exploiter cet Avis et ces informations de quelque manière que ce soit, à toutes fins et sur tout support ou produit sans restriction. Ce droit et cette licence survivront à toute résiliation ou expiration du présent Accord pour quelque raison que ce soit. Le Bêta-testeur s'engage à ne pas faire valoir contre WDT ou l'un de ses directeurs, responsables, employés, sous-traitants ou agents toute réclamation ou action résultant de l'utilisation ou de l'exploitation des Avis par WDT.
Confidentialité.
6.1 Informations confidentielles. Qu'ils soient marqués ou désignés comme « confidentiels » ou « propriétaires » par WDT, les Produits d'évaluation et tous les secrets commerciaux, données de performance, conceptions, caractéristiques, mises en page, configurations, processus, formules, spécifications, programmes, résultats de tests, Avis, savoir-faire technique, méthodes et procédures de fonctionnement, et autres informations s'y rapportant (ou autrement obtenues en relation avec l'utilisation ou l'évaluation des Produits d'évaluation par le Bêta-testeur) seront considérés comme des informations confidentielles de WDT (« Informations confidentielles »).
6.2 Protection des informations confidentielles. Le Bêta-testeur reconnaît que WDT revendique les Informations Confidentielles comme un atout spécial, précieux et unique. Les Informations confidentielles sont fournies au Bêta-testeur uniquement pour que celui-ci puisse les évaluer et fournir un Avis à WDT. Le Bêta-testeur ne doit pas utiliser les Informations confidentielles de quelque autre manière que ce soit. Le Bêta-testeur s'engage à ne pas divulguer d'Informations confidentielles à un tiers. Le Bêta-testeur doit maintenir la confidentialité des Informations Confidentielles avec le même degré de protection qu'il accorde à ses propres informations confidentielles et propriétaires, et en aucun cas avec un degré de protection insuffisant au vu des circonstances. Sans limiter la portée de ce qui précède, le Bêta-testeur ne doit pas divulguer à un tiers, y compris, mais sans s'y limiter, tout blog ou site web, son utilisation des Produits d'évaluation ou sa participation au programme de Bêta-test, les résultats de tout test des Produits d'évaluation, y compris, mais sans s'y limiter, toute caractéristique, tout problème, tout affichage ou tout Avis.
Collecte d'informations.
7.1 Consentement à l'utilisation des informations d'enregistrement. Le Bêta-testeur déclare et garantit que les informations qu'il fournit à WDT pendant le processus d'enregistrement du Bêta-test (« Informations d'enregistrement ») sont exactes. Il accepte également que sa sélection en tant que Bêta-testeur peut être basée sur l'examen de ces informations par WDT. Le Bêta-testeur comprend et consent à ce que WDT utilise les Informations d'enregistrement pour : (i) valider l'éligibilité du Bêta-testeur pour le programme de Bêta-test, (ii) administrer le programme de Bêta-test, et (iii) à des fins générales de marketing. Les Informations d'enregistrement seront par ailleurs traitées par WDT conformément à sa Déclaration de confidentialité (actuellement disponible à l'adresse : https://www.westerndigital.com/fr-fr/legal/privacy-statement), qui est par la présente incorporée par référence.
7.2 Consentement à la collecte et à l'utilisation d'informations supplémentaires. EN CLIQUANT POUR SIGNIFIER QUE VOUS ACCEPTEZ LES TERMES DU PRÉSENT ACCORD OU EN SIGNANT LE PRÉSENT ACCORD, VOUS CONSENTEZ À LA COLLECTE ET À L'UTILISATION D'INFORMATIONS SUPPLÉMENTAIRES PAR WDT COMME DÉCRIT DANS CETTE SECTION. Le Bêta-testeur comprend que les Produits d'évaluation peuvent contenir un logiciel qui recueille et renvoie automatiquement à WDT certaines données, des Données d'utilisation (telles que définies dans cette section), des fichiers, des journaux et d'autres informations connexes qui peuvent inclure des informations personnelles identifiables (ci-après, les « Informations supplémentaires »). Ce droit et cette licence survivront à toute résiliation ou expiration du présent Accord pour quelque raison que ce soit. Le Bêta-testeur s'engage à ne pas faire valoir contre WDT ou l'un de ses directeurs, responsables, employés, sous-traitants ou agents toute réclamation ou action découlant de la transmission, la collecte, l'utilisation ou l'exploitation des Informations supplémentaires par WDT.
7.3 Consentement à la collecte et à l'utilisation d'informations personnellement identifiables pour les communications marketing. EN CLIQUANT POUR SIGNIFIER QUE VOUS ACCEPTEZ LES TERMES DU PRÉSENT ACCORD OU EN SIGNANT LE PRÉSENT ACCORD, VOUS CONSENTEZ À LA COLLECTE ET À L'UTILISATION PAR WDT D'INFORMATIONS PERSONNELLEMENT IDENTIFIABLES POUR LES COMMUNICATIONS MARKETING COMME DÉCRIT DANS CETTE SECTION. WDT peut utiliser des informations personnelles identifiables provenant de votre utilisation des produits et services de WDT pour vous envoyer des communications marketing, y compris des publicités ciblées, via des messages dans l'application, des notifications push et des courriels. Nous pouvons utiliser des informations personnelles identifiables pour vous fournir des publicités qui sont pertinentes pour vous. Résiliation ; retour des Produits d'évaluation.
8.1 Résiliation. Le présent Accord prendra fin à la remise d'une notification écrite de résiliation par WDT au Bêta-testeur (un e-mail suffit).
8.2 Retour des Produits d'évaluation. Il peut être demandé au Bêta-testeur de retourner à WDT et/ou de détruire tous les Produits d'évaluation, les informations confidentielles et les documents connexes, et celui-ci devra certifier par écrit que cela a bien été fait dans les cinq (5) jours suivant la résiliation du présent Accord, ou dans les deux (2) jours suivant la demande de WDT à tout moment. Si WDT demande au Bêta-testeur de renvoyer les Produits d'évaluation, le Bêta-testeur supprimera toutes les données stockées sur les Produits d'évaluation applicables avant de renvoyer lesdits Produits d'évaluation. Il est de la responsabilité du Bêta-testeur de supprimer les données de tous les Produits d'évaluation applicables. WDT ne sera pas responsable de toute divulgation éventuelle de données, à la réception de tout Produit d'évaluation.
8.3 Survie. Les dispositions des sections 3, 4, 5, 6, 7, 8, 9, 10, 11 et 12 survivront à la résiliation du présent accord pour quelque raison que ce soit.
Recours. Le Bêta-testeur convient que les obligations du Bêta-testeur prévues dans le présent document sont nécessaires et raisonnables afin de protéger WDT et ses activités, et le Bêta-testeur convient expressément que des dommages-intérêts monétaires seraient insuffisants pour compenser WDT pour toute violation par le Bêta-testeur de ses engagements et accords prévus dans le présent document. En conséquence, le Bêta-testeur accepte et comprend que toute violation ou menace de violation (y compris, mais sans s'y limiter, une violation ou menace de violation de la section 6) causera un préjudice irréparable à WDT et que, en plus de tous les autres recours qui peuvent être disponibles juridiquement, en équité ou autrement, WDT aura le droit d'obtenir une injonction contre la violation ou la menace de violation de cet accord ou la poursuite d'une telle violation par le Bêta-testeur, sans qu'il soit nécessaire de prouver les dommages réels ou de déposer une caution.

LES PRODUITS D'ÉVALUATION PEUVENT CONTENIR DES DÉFAUTS, PEUVENT ENTRAÎNER UNE PERTE DE DONNÉES DANS LES PRODUITS D'ÉVALUATION ET DANS LES SYSTÈMES INFORMATIQUES DU BÊTA-TESTEUR, ET SONT FOURNIS UNIQUEMENT DANS LE CADRE D'UNE ÉVALUATION LIMITÉE. LES PRODUITS D'ÉVALUATION ET TOUS LES SERVICES AUXILIAIRES (Y COMPRIS, SANS S'Y LIMITER, L'INSTALLATION OU L'ASSISTANCE) SONT FOURNIS « TELS QUELS » SANS GARANTIE D'AUCUNE SORTE, QU'ELLE SOIT EXPRESSE, IMPLICITE, LÉGALE OU AUTRE. WDT DÉCLINE EXPRESSÉMENT TOUTE GARANTIE IMPLICITE DE QUALITÉ MARCHANDE, DE NON-CONTREFAÇON ET D'ADÉQUATION À UN USAGE PARTICULIER.
LIMITATION DE RESPONSABILITÉ. LA RESPONSABILITÉ TOTALE DE WDT DÉCOULANT DE OU LIÉE À CET ACCORD NE DOIT PAS DÉPASSER VINGT-CINQ DOLLARS (25 $). EN AUCUN CAS WDT NE SERA RESPONSABLE DE TOUT DOMMAGE INDIRECT, FORTUIT, SPÉCIAL OU CONSÉCUTIF, MÊME SI ELLE A ÉTÉ INFORMÉE DE LA POSSIBILITÉ DE TELS DOMMAGES. EN OUTRE, WDT N'EST EN AUCUN CAS RESPONSABLE DE TOUTE PERTE DE DONNÉES DANS LES PRODUITS D'ÉVALUATION OU LE SYSTÈME INFORMATIQUE DU BÊTA-TESTEUR. LES LIMITATIONS PRÉCÉDENTES S'APPLIQUERONT NONOBSTANT TOUT ÉCHEC DE L'OBJECTIF ESSENTIEL DE TOUT RECOURS LIMITÉ. SANS L'ACCEPTATION DE CETTE SECTION 11 PAR LE BÊTA-TESTEUR, WDT N'AURAIT PAS ACCORDÉ LA PRÉSENTE LICENCE.
Divers. Le présent Accord est régi par les lois de Californie, sans égard aux principes régissant les conflits des lois ; La juridiction et le lieu de juridiction pour tout litige découlant de ou lié au présent Accord seront les tribunaux fédéraux et d'état du comté de Santa Clara, Californie, États-Unis, et chaque partie consent par la présente à la juridiction et au lieu de juridiction exclusifs de ces tribunaux. Le Bêta-testeur ne peut pas céder ce contrat, directement ou indirectement, en vertu de la loi ou autrement, sans le consentement écrit préalable de WDT. WDT a le droit de céder ce contrat dans le cadre d'une fusion, d'une acquisition, d'une vente d'actifs, d'un changement de contrôle ou d'un arrangement similaire. Le Bêta-testeur doit se conformer à tous égards à toutes les lois et réglementations américaines et étrangères en matière d'exportation et de réexportation applicables aux Produits d'évaluation, à la technologie et à la documentation fournis dans le cadre du présent accord. Le présent Accord constitue l'intégralité de l'accord entre les parties concernant l'objet des présentes et remplace tout accord antérieur sur l'objet des présentes. Si une disposition du présent Accord est jugée contraire à la loi par un tribunal compétent, les autres dispositions du présent Accord resteront pleinement en vigueur. Les titres contenus dans le présent accord sont uniquement destinés à servir de référence et n'affectent pas la portée ou l'intention de toute clause ou disposition du présent Accord.
