ウエスタンデジタルのサンディスク系子会社は、ICC国際仲裁裁判所において、東芝に対する新たな仲裁手続を開始します

• 第6製造棟の生産設備に対し単独で投資を行うという東芝の決定はJV契約に違反
• JV契約は、サンディスクが東芝と共同でBiCS生産能力の拡大および転換に関する設備投資を行う権利を有することを明確に定めている

ウエスタンデジタルコーポレーション（NASDAQ: WDC）は、本日、同社サンディスク系子会社が、株式会社東芝（「東芝」）と共同で運営する三つのNANDフラッシュメモリー合弁事業（「JV」）に関し、国際商業会議所（ICC）国際仲裁裁判所にさらなる仲裁申立てを行ったと発表しました。

2017年8月3日、東芝は、四日市市にてJVが運営する第6製造棟のクリーンルームへの生産設備導入について、単独投資を行うことを発表しました。仲裁申立てにおいては、とりわけ、第6製造棟におけるBiCS 3D NANDフラッシュメモリーのJV生産能力の拡大および転換に対し、東芝が同等の設備投資を行う機会を最初にサンディスクに対して与えることなく単独でそのような設備投資を行うことを禁じる終局的な差止めを求めています。

ウエスタンデジタルは、以下の声明を発表しました。

• 東芝とサンディスクの両社が合意したJV契約に違反する東芝の報復的措置に対する救済を求めて、サンディスクが拘束力のある仲裁手続の開始を強いられたことは残念でなりません。


• 当該契約の条項および当社の関連する法的権利は明確です。当該契約は、サンディスクに対し、第6製造棟設備への共同投資を通じ、BiCS 3D NANDフラッシュメモリー製品の生産能力の拡大および転換に参画する権利を与えています。東芝は、単独で第6製造棟の生産設備への投資を実施することにより、サンディスクの有する共同投資を行う権利を不当に否定しました。


• ウエスタンデジタルは、2018年（暦年）を通して、当社が必要なNAND供給能力をすでに確保しており、第6製造棟からの供給は2019年を見込んでいます。


• ウエスタンデジタルは、当社のステークホルダーにとっての最善を求める行動を継続すると共に、差止めによる救済請求と仲裁手続の双方を通じ、サンディスクが有するJV持分を保護し、同意権を保全して参ります。

ウエスタンデジタルのサンディスク系子会社が2017年5月14日および2017年7月5日に申し立てた仲裁手続は、ICC国際仲裁裁判所にて引き続き進められる予定です。
