ウエスタンデジタルの東芝発表（半導体ＪＶ持分の売却）に対するコメント

ウエスタンデジタルコーポレーション（NASDAQ: WDC）は、本日、サンディスク子会社と共同で運営してきたNANDフラッシュメモリー合弁事業（「JV」）の株式会社東芝（「東芝」）の持分の売却先に関連し、東芝が韓国のSKハイニックス、ベインキャピタル、産業革新機構及び日本政策投資銀行によるコンソーシアムを優先交渉先として選択した発表について以下の声明を発表しました。

• 東芝は、サンディスクの同意権及び現在進行中の二つの法的手続きを無視し続けています。JV契約は、東芝にはサンディスクの同意を得ずに第三者に持分を譲渡する権利がないことを明記しています。サンディスクは売却手続きに同意しておらず、サンディスクは売却の差止救済及び仲裁裁定のプロセスを通じて自社のJV持分を守り、自社の権利を主張し続けます。


• 東芝は、過去に何度もサンディスクの同意権を認識し、かつ確認しています。さらにウエスタンデジタルは、東芝の発表に記載された一部の当事者に対し、JV持分の直接的または間接的な譲渡への合意など、東芝とサンディスクの契約違反を支援する行為は、契約への不当介入になることを以前から伝えています。


• 2017年6月15日に、当社は、国際商業会議所 国際仲裁裁判所（ICC International Court of Arbitration）に求めている差止救済に関する仲裁判断がなされるまで、東芝が三つのNANDフラッシュメモリー合弁事業の売却手続きを中止する旨の差止救済をカリフォルニア州上級裁判所に求めました。5月14日に国際商業会議所 国際仲裁裁判所に提出した仲裁申し立ての手続きも並行して進めています。


• 当社は、自らの同意権及び法的地位に確信を持っています。差止救済のための裁判所の法廷審問は7月14日に予定されています。
